These terms explain your use of Partneralytics and participation in partnership programs on our network. They're written to be clear and not to hide responsibilities behind legal language. If anything needs clarification, contact us directly.
Creating an account or using Partneralytics makes these terms a binding agreement between you and Partneralytics Inc.
Publishers accept additional program-level terms when they apply to individual brand programs in the marketplace.
Advertisers must meet network quality requirements, fund commissions, and fulfil their program management responsibilities.
California law governs these terms. A dispute is handled through arbitration under JAMS rules, except eligible small claims.
The following defined terms are used throughout these Terms. Reading them helps you recognise your duties and protections precisely.

| "Program" | A defined affiliate or partnership arrangement created by an Advertiser, including its commission structure, terms, creative assets, and participation requirements. |
| "Conversion" | A recorded action, such as a sale, subscription sign-up, lead, or download, completed by a user who arrived via a Publisher's tracked link, which triggers a commission payment. |
| "Commission" | The financial amount payable to a Publisher for each valid Conversion, as defined in the terms of the relevant Program. |
| "Invalid Traffic" | Clicks, impressions, or conversions produced through automated or non-human means, fraudulent methods, or in violation of these Terms or a Program's terms. |

| "Account" | Your registered login credentials and associated profile on the Platform, including all programs, partnerships, and data connected to that registration. |
To use Partneralytics, you must satisfy the eligibility conditions below and register using information that is accurate and current. You are responsible for keeping your account credentials secure throughout your use.
You must be at least 18 years of age (or the age of legal majority in your jurisdiction, if higher) to create an account and participate in partnership programs.
Advertisers must be a legally registered business entity. Publishers may register as individuals or business entities, however, business entity registration is required to receive payouts above $600 per calendar year in the United States.
Partneralytics is available in 118 countries. Some program types, payout methods, and features may not be available in all jurisdictions due to local regulatory requirements.
You represent that all information provided during registration including identity, business details, and payout information is accurate and that you will keep it current. Providing false information is grounds for immediate account termination.
Each individual or business entity may maintain one Publisher account and one Advertiser account. Operating multiple accounts of the same type โ or accounts on behalf of a third party without written authorisation โ violates these Terms and may result in forfeiture of pending commissions.
As a Publisher on Partneralytics, you agree to promote Advertiser programs in compliance with these Terms, the specific terms of each Program you join, and all applicable advertising standards and regulations in your jurisdiction.
You must clearly disclose your material connection to Advertisers in all promotional content, in compliance with FTC guidelines (US), the CAP Code (UK), and equivalent regulations in your jurisdiction. Failure to disclose can result in removal from programs and commission forfeiture regardless of conversion validity.
As an Advertiser, you are responsible for operating your Program in accordance with these Terms, maintaining the trust of Publishers who join your program, and honouring commission commitments promptly and accurately.
Program terms you publish to Publishers must be accurate, complete, and honoured. Material changes to commission rates or terms require minimum 30 days' advance notice to active Publishers, except where required by law.
You must maintain a funded balance sufficient to cover outstanding commissions at all times. Partneralytics may pause your program and suspend Publisher access if your balance falls below the minimum threshold for your payout schedule.
You have a defined review window (default 30 days, configurable to up to 90 days) to approve, hold, or reject conversions. After the review window closes, pending conversions lock automatically and become payable.
You are responsible for ensuring that all creative assets and marketing claims provided to Publishers are accurate, legally compliant, and do not violate third-party rights. Partneralytics is not responsible for claims made in your creative materials.
Reducing commission rates for conversions that have already been validated is prohibited. If we identify retroactive commission adjustments that are not supported by the Program terms, we may restore the original commission, suspend your program, and take further action under our dispute resolution process. Publishers who have earned commissions in good faith are protected from retroactive rate changes.
Publishers earn commissions once a tracked Conversion is approved and clears fraud screening. Each Program defines the commission value, structure, and payment timing. Partneralytics calculates and processes payouts for Advertisers.
A customer completes the required action using a Publisher's tracking link. Partneralytics records the event immediately together with its attribution details.
Fraud Shield checks the event using device, behavioural, and network indicators. Suspicious activity is flagged and withheld, while verified events move into Pending status
The Advertiser reviews each conversion (30 days by default). They can approve, hold (extend), or reject it. Any rejection must include a documented reason and supporting evidence.
When the review period ends, untouched conversions are automatically locked and confirmed for payment. Once locked, the commission can no longer be adjusted
Approved commissions are released according to the Publisher's selected payout cycle (weekly, bi-monthly, or monthly), provided threshold and tax requirements are met

Payments are issued in the payout currency configured on your account. If conversion between currencies is necessary, Partneralytics applies the mid-market exchange rate when the payout batch runs. Partneralytics adds no conversion fee, although your bank or payment provider may charge its own fees.
If a commission appears miscalculated, improperly rejected, or withheld without valid cause, you can submit a dispute within 90 days of the Conversion date. Claims raised beyond 90 days fall outside the standard review period and generally cannot be reviewed. Our goal is to resolve submitted disputes within 14 business days.
These activities are prohibited on Partneralytics for every account type. Breaches may lead to lost commissions, suspension, or permanent termination.
Using bots, scripts, or automated systems to create clicks, conversions, or account activity at abnormal volumes, including self-referrals or deliberate conversion inflation.
Creating an account with false details, managing undisclosed accounts for third parties, or pretending to be another Publisher or Advertiser.
Trying to enter accounts, systems, or datasets you do not have permission to access, including another user's account or Partneralytics's internal systems.
Any action that damages, disables, overloads, or interferes with the Platform or another user's access, including denial-of-service activity or unauthorised data scraping.
Distributing malicious software, operating phishing pages, or directing affiliate-link traffic toward harmful, fraudulent, or deceptive destinations.
Trying to alter commission calculations, abuse tracking inconsistencies, or obtain payment for activity you know does not represent valid conversions.
Reliable conversion data is essential to a fair partnership network. Partneralytics combines automated detection with human review to prevent Advertisers from funding invalid activity while protecting legitimate Publishers from competitors using abusive tactics.
Fraud Shield assesses tracked events in real time using device fingerprints, IP reputation, click velocity, conversion timing, and behavioural indicators. Events exceeding fraud thresholds are quarantined before commission can be released. Publishers can view blocked activity in their dashboard and request a human review when they believe an event was incorrectly classified
Publishers remain accountable for the quality of traffic delivered to Advertiser programs, including traffic supplied by sub-affiliates or external traffic networks. Fraud originating from a source used by a Publisher is treated as that Publisher's responsibility, even when the Publisher did not generate it directly
Each party keeps ownership of the intellectual property it brings to the Platform. These Terms grant only licences needed to operate the service and do not transfer ownership.
Partneralytics retains all rights in the Platform, including its software, algorithms, tracking systems, brand materials, and documentation. You receive a limited, revocable, non-exclusive licence to use Partneralytics only for participation in partnership Programs available to your account.
You continue to own the content you create and publish. When you submit content to Partneralytics, you provide us with a non-exclusive, royalty-free licence to use that content for Platform operation, customer support, and product improvement.
Advertisers provide Publishers with a limited licence to use approved creative materials only for the relevant Program. That licence ends automatically when the Publisher leaves the Program or when the Program itself closes.
You may not use the Partneralytics name, logo, or trademarks in a manner that implies endorsement or affiliation unless we have given prior written permission. Advertisers define how Publishers may use their own trademarks through the applicable Program terms.
This section explains the limits on Partneralytics's liability to you. These protections are an essential part of the terms under which we make the service available. If you do not agree with them, you should not use the Platform.
The Platform is supplied "as is" and "as available" without warranties of any kind, whether express or implied. We cannot guarantee uninterrupted or error-free operation, or that tracking will record every conversion event; network performance, browser configurations, and ad-blocking tools may affect attribution accuracy despite our efforts.
To the fullest extent allowed by applicable law, Partneralytics's aggregate liability for claims connected with these Terms or your use of the Platform will not exceed the greater of: (a) commissions paid to you or by you through the Platform during the three months before the claim, or (b) USD $500.
Partneralytics will not be responsible for indirect, incidental, special, consequential, or punitive damages, including lost profits, revenue, data, or goodwill, even where we have been informed that such damages may occur.
You agree to indemnify and protect Partneralytics, its officers, directors, employees, and agents, against claims, liabilities, losses, and expenses (including legal fees) resulting from: your breach of these Terms; your Content; your promotional conduct; your breach of Program terms; or your infringement of third-party rights.
You or Partneralytics may end the relationship. The steps and consequences depend on which party ends the relationship. Your account state, outstanding commissions, and stored data will be handled according to these rules whenever either party ends your access.
You can close your account at any time through Settings โ Account โ Close Account. Pending commissions above the payout threshold will be released on the next scheduled payout date. Amounts below the threshold are forfeited.
We may close an account immediately for fraud, breaches of these Terms, or unlawful activity. Commissions from fraudulent conduct will be reversed. If you believe we terminated your account incorrectly, you may submit an appeal within 14 days.
We may close an account for any reason with 30 days' written notice, including exiting a market. Pending commissions earned will be honoured and paid normally.
When your account is terminated, access to the Platform ends. We handle data under our Privacy Policy and retention requirements. You may request an export before closing the account.
The following provisions remain effective after termination: Definitions, Commissions (for commissions already earned or payable), Intellectual Property, Liability and Indemnification, Disputes and Governing Law, and Fraud (for fraudulent conduct occurring while the account was active)
We aim to settle disagreements through direct communication first. If an issue arises, contact our support team first. Most matters can be resolved within five business days
Email legal@partneralytics.com with your concern. We will reply within 5 business days and resolve the matter informally. Most disputes are settled.
If informal resolution fails, either party may request non-binding mediation through JAMS. Costs are shared equally. This is optional but recommended before arbitration.
Unresolved disputes will be settled by binding arbitration under the JAMS Streamlined Arbitration Rules, conducted in San Francisco, California (or by video). The arbitrator's ruling is final and enforceable.
Disputes with Partneralytics must be pursued individually. You waive the right to participate in a class action lawsuit or class-wide arbitration against Partneralytics. This waiver is severable. If any part is unenforceable, the remaining dispute provisions continue to apply.
Either party can bring an eligible dispute in small claims court (or its equivalent in your jurisdiction) where the claim falls within that court's limits, provided it remains an individual matter and is not included in a class or consolidated proceeding.
These Terms are governed by the laws of the State of California, USA, excluding its conflict-of-law principles. This governing-law provision does not displace mandatory consumer protections in your jurisdiction that cannot legally be waived by contract.
We may revise these Terms from time to time as the Platform, legal requirements, or our business practices change. When an update matters to your rights or responsibilities, we are committed to providing meaningful notice before it becomes effective.
Updates that materially change your rights or duties, including commission policies, arbitration terms, or liability limits, will be communicated by email and an in-platform notice at least 30 days before taking effect.
Corrections, clarifications, and other updates that do not materially change your rights may be made without prior notice. The "Last Updated" date shown at the top of this page will always identify the latest revision.
